INTRODUCTION
CNBC, Inc. (“CNBC”) has selected a tournament bracket consisting of the Class A Common Stock of sixty-four (64) publicly-traded companies selected by CNBC.
The bracket is divided into four (4) regions (Tech/Telecom, Health/Home, Financial, Commodity/Industrial), each consisting of sixteen (16)
companies, seeded 1 through 16 by CNBC. The rounds of the tournament will consist of thirty-two (32), sixteen (16), eight (8), four (4),
two (2) and one (1) match-ups, respectively, between companies, based on their seeding (the “games”). During each game, each of the four (4) traders
appearing on the CNBC television program “Fast Money” will select which company he or she believes will have the biggest stock price increase in the
next twelve (12) months. Whichever company is selected by the most traders will be the winner of that game. In the event of a tie game,
Fast Money’s host will select a winner based on the strength of the arguments by the traders, and not based on his or her personal opinion
regarding likely stock performance.
OBJECTIVE
As a Participant, you get to choose a Fast Money Madness tournament bracket consisting of 63 games,
and a total score for the championship game. You will receive points for each game in which you select
the winning company, using a multiple based upon the company's tournament seed. Your final score for the tournament
will be the total of all your points. Your goal is to earn as many points as you can over the course of the
tournament, starting March 24, 2007 and ending on April 7, 2008. Participants cannot change any selections
after 5:00PM ET on March 26th, 2008. For the purposes of the Contest, any play-in game is NOT considered an
official game and is not factored into the scoring in any way.
BRACKET CHANGES
You can make as many changes to your bracket as you like until the deadline. The deadline will be 5:00pm on March 26, 2008.
TIMING
The Contest runs from 9:00AM Eastern Time (“ET”) on March 24, 2008 and ends on April 7, 2008 at the
completion of Fast Money’s 5:00PM broadcast. Participants can enter the Contest at any time between
10:00AM ET on March 24, 2008 through 5:00PM ET on March 26, 2008. Each participant may only enter the Contest once,
but is entitled to change selections until one until 5:00PM ET on March 26, 2008. Contest selection changes will
not be effective if made after 5:00PM ET on March 26, 2008.
POINTS SYSTEM
The Contest scores all picks exclusively on the basis of the Fast Money Madness Points Scoring
System” (the "F$MPSS"), and there is no subjective evaluation regarding the worth or value of any game.
The F$MPSS awards points for any game which is chosen correctly by the participant. The Points each participant earned through
the end of the tournament are then totaled to generate a participant's Total Score ("TS").
A participant's TS is the basic number that Fast Money uses to rank all participants in the game.
SCORING
Each completed bracket is scored under our Scoring System, as shown below:
* Round One Games: 1 point for each correctly identified game winner
* Round Two Games: 2 points for each correctly identified game winner
* Round Three Games: 4 points for each correctly identified game winner
* Round Four Games: 8 points for each correctly identified game winner
* Round Five Games: 12 points for each correctly identified tournament champion
* Round Six (Championship) Game: 16 points for correctly identifying the tournament champion
One (1) potential participant who receives the most points based on the F$MPSS will win the Grand Prize.
In the event more than one participant earns the same number of points at the end of the Contest,
the Tiebreakers, as set forth below, will be used to determine all potential winner(s).
TIEBREAKERS
When participants select his or her brackets, a closing stock price (as of 4:00 pm on April 7, 2008) for the winner of the
Championship Game must also be selected. At the end of the Contest, if there are participants tied for the highest Total Score,
the participant with the closing stock price for the winner of the Championship Game that is closest to the actual closing stock
price for the winner of the Championship Game will be deemed the Grand Prize Winner. Participant’s selection of a closing stock price
for the winner of the Championship Game will be used in the Contest solely in the event that a Tiebreaker is necessary and will not be
used for any other purpose. If the participants with the highest Total Score are also tied for the closing stock price for the winner
of the Championship Game, the following structure will be used to break the tie to determine the Grand Prize Winner:
- 1. Participant who scored the most points in Round 6 (Championship Game). If tied, then;
- 2. Participant who scored the most points in Round 5 (Final Four). If tied, then;
- 3. Participant who scored the most points in Round 4 (Elite 8). If tied, then;
- 4. Participant who scored the most points in Round 3 (Sweet 16). If tied, then;
- 5. Participant who scored the most points in Round 2 (32 teams). If tied, then;
- 6. Participant who scored the most points in Round 1 (64 teams).
In the event any Participants still remain tied after applying the above tiebreakers, any further tiebreakers necessary to
determine the Grand Prize Winner will be determined by CNBC in its sole discretion.
ELIGIBILITY. The Contest is open only to legal permanent residents residing in one of the of the forty-eight (48) contiguous United States and the District of Columbia (excluding Alaska, Hawaii, Puerto Rico, Guam, Virgin Islands and other United States territories) who are 18 years of age or older at time of entry. Employees of CNBC, NBC Universal and their parents, affiliates, subsidiaries, advertising and promotion agencies involved in the development or administration of this Contest, and any other entity involved in the development or administration of the Contest, and their immediate family members (parent, child, spouse, sibling and their respective spouses, regardless of where they reside) and/or those living in the same household of each, whether or not related, are not eligible to participate or win the Contest. Entries must be received by the time stated below to be eligible. Contest is subject to all applicable federal, state, and local laws and regulations. Void where prohibited or restricted by law. CNBC reserves the right to verify eligibility qualifications of any entrant or winner.
HOW TO ENTER. During the Contest Period, go to http://fastmadness.nbcsports.com (the “Website”) to register. Contest participants must (a) complete the online registration at the Website, which includes your full name, complete address, daytime telephone number, date of birth and valid email address, and (b) read the applicable Terms of Service and click the “I agree to NBCSports.com’s Terms of Service” box. Normal Internet time, toll, connection and usage rate, if any, imposed by participant’s online carrier will apply. Only ONE (1) Entry is allowed per person throughout the entire Contest Period. Entries generated by a script, macro or other automated means will be disqualified. Entries that are incomplete, illegible or corrupted are void and will not be accepted. CNBC is not responsible for lost, late, stolen, incomplete, or otherwise misdirected entries or transactions that are processed late or incorrectly or are lost due to computer or electronic malfunction or other error. All entries become the property of CNBC and will not be returned. By participating, entrants unconditionally accept and agree to comply with and abide by these Official Rules and the decisions of CNBC. CONTEST SELECTION CHANGES MUST BE MADE NO LATER THAN 5:00PM ET ON MARCH 26, 2008. SELECTION CHANGES MADE AFTER THIS TIME WILL NOT BE EFFECTIVE.
PRIZE: On or about April 8th, 2008, employees or representatives of CNBC, whose decision is final and binding, will determine the potential Grand Prize winner from all eligible Contest entries received during the Contest Period in accordance with the “Fast Money Madness Points Scoring System” as described in the Overview above. The Grand Prize will be awarded as follows: One (1) potential Grand Prize Winner will receive two (2) coach class airline tickets from the airport nearest to the Grand Prize Winner’s permanent legal residence to New York, New York for Grand Prize winner and a guest (“Guest”), a hotel room for two (2) nights (single room, double occupancy), and the opportunity to appear on the Fast Money television program (“Fast Money Appearance”); provided, however, that if the Grand Prize Winner lives within ninety (90) miles of New York, New York, CNBC reserves the right to provide ground transport in lieu of air transportation.. All details of the Fast Money Appearance to be determined by CNBC, in CNBC’s sole discretion, subject to availability and production exigencies. Winner must be available during Fast Money’s (“Series”) production schedule and on the dates selected by CNBC.
. If the Series is not in production, if the Series is cancelled prior to Grand Prize Winner’s appearance, or in the event that any prize component is not available for any reason, then remaining elements of prize shall constitute full satisfaction of Sponsors’ prize obligation to Winner and no additional compensation will be awarded.
CNBC is not under any obligation to broadcast or otherwise use the footage of Grand Winner’s Fast Money Appearance and any decision to do so is in its sole and exclusive discretion.
The total approximate retail value (“ARV”) of the Grand Prize is Four Thousand Five Hundred Dollars ($4500). The exhibition of the Fast Money Appearance on CNBC or other network or platform has no cash value. Actual value may vary depending on city of departure, dates of travel, and airfare fluctuations. Any difference between actual ARV and stated ARV will not be awarded. The ARV of Grand Prize represents CNBC’s good faith determination of the maximum retail value thereof. For Form 1099 reporting purposes, Grand Prize Winner shall be bound by such good faith determination. Sponsor will furnish an Internal Revenue Service Form 1099 to Grand Prize Winner for the ARV of Prize for the tax year in which Prize was won. Details of Grand Prize will be determined by Sponsor in its sole discretion. CNBC reserves the right to substitute a similar Prize (or Prize element) of equal or greater value. All taxes and other expenses, costs, or fees associated with the acceptance and/or use of Prize are the sole responsibility of Grand Prize Winner. Prize cannot be transferred by Grand Prize Winner or redeemed for cash and is valid only for the items detailed above, with no substitution of Prize by Grand Prize Winner. If Prize is unclaimed, it will be forfeited, and an alternate Grand Prize Winner may be selected from the remaining eligible entries. If a Prize element is not available for any reason, the remaining elements of Prize shall constitute full satisfaction of Sponsor’s Prize obligation to Grand Prize Winner, and no additional compensation will be awarded. Certain blackout periods and travel restrictions may apply. Travel and hotel arrangements will be determined by Sponsor/fulfillment company in its sole discretion. Sponsor/ fulfillment company reserves the right to provide ground transportation in lieu of air transportation. Travel must occur on dates and times designated by Sponsor or Prize will be forfeited and an alternate Grand Prize Winner may be selected from the remaining eligible entries. Once determined, no change, extension, or substitution of travel dates and/or times is permitted, except by Sponsor in its sole discretion. Grand Prize Winner and Guest must travel together on the same itinerary. Prize consists only of the elements set forth above. No other travel elements (including, without limitation, ground transportation, insurance, gasoline, meals, gratuities, and souvenirs) are included in Prize. All taxes and fees assessed at the time of ticketing are the responsibility of Grand Prize Winner. Tickets are non-refundable. Reservations are subject to availability. Tickets are not valid for business-related or group travel. Tickets are valid only for travel on airline chosen by Sponsor in its sole discretion. Tickets will be issued only to Grand Prize Winner and Guest. Tickets are void if sold for cash or other consideration. Grand Prize Winner is responsible for any tax liability (including applicable departure taxes or fees), inspection charges, and security charges. Once issued, tickets are non-transferable and may not be reissued once travel has commenced. Open tickets may not be issued and stopovers are not permitted. Travel arrangements must be made through CNBC. Grand Prize Winner and Guest must have valid travel documents (e.g., valid, government-issued photo identification and/or passport) prior to departure, failure to do so will result in forfeiture of Prize. CNBC shall have no responsibility or liability for cancellations, delays, or any other change by any company or person providing any element of Prize due to reasons beyond Sponsor’s control, and is not responsible or liable for any expenses incurred as a consequence thereof. Travel may not be combined with any other offer and may not qualify for frequent flyer miles or hotel points. All travel will be at the risk of Grand Prize Winner and Guest. CNBC will not replace any lost or stolen tickets, vouchers, or certificates. All elements of Prize must be redeemed at the same time. In the event of an act of God or an unforeseen, uncontrollable event, Sponsor reserves the right to reschedule all travel for a later date. If Grand Prize Winner chooses to take the Trip with no Guest, the remaining elements of Prize shall constitute full satisfaction of Sponsor’s Prize obligation to Grand Prize Winner and no additional compensation will be awarded. Guest, if any, may be required to execute and return a release of liability and, except where prohibited, publicity release (collectively, “Guest Documents”), which must be returned with the Sweepstakes Documents (defined below), or Prize will be forfeited and an alternate Grand Prize Winner may be selected from the remaining eligible entries. If Guest is a minor, Grand Prize Winner must be such minor’s parent or legal guardian and must execute and return the Guest Documents on such minor’s behalf.
Entrants selected must comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements.
CNBC shall have the right, but not the obligation, to make any deductions and withholdings that CNBC deems necessary or desirable under applicable federal, state and local tax laws, rules, regulations, codes or ordinances.
Arrangements for delivery of prize will be made after potential winner validation. Any depictions of the prize are for illustrative purposes only. The decisions of CNBC are final and entrants agree to be bound by these decisions.
WINNER NOTIFICATION/RELEASES.
Potential Prize Winner will be notified by phone
and or email. CNBC will make two (2) attempts to contact the potential winner
at the phone number or email address provided online within 24 hours from the
time of the winner’s selection. If CNBC is unable to reach a potential winner
via phone or email within this time frame, he/she will be disqualified and an
alternate will be selected as the individual with the next highest Total Score.
The potential winner(s) will be required to execute and return a notarized
affidavit of eligibility/release of liability and/or publicity release (unless
prohibited by law) (“Sweepstakes Documents”) within five (5) days of attempted
notification. If any potential winner cannot be contacted or fails to sign and
return the affidavit of eligibility and liability/publicity release within the
required time period (if required), potential winner forfeits prize even though
his/her name may have been shown/announced on air. If prize is returned as
undeliverable, potential winner forfeits prize. In the event that a potential
winner is ineligible or disqualified for any reason, CNBC will award the prize
to an alternate winner.
CONDITIONS FOR PARTICIPATION AND VALIDATION OF ENTRIES.
Entries generated by a script, macro, robotic
or other automated means will be disqualified. USE OF COMPUTER PROGRAMS TO
ENTER AND/OR OTHER AUTOMATIC ENTRY METHODS, (SUCH AS HACKS OR BOTS) IS STRICTLY
PROHIBITED.CNBC
reserves the right to disqualify, and block or
discard entries from any individual who enters by any kind of electronic,
mechanical or other automated means or otherwise tampers with or hacks the
entry process as determined by the Sponsor in its sole discretion.
CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL
TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE
PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT
BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO
THE FULLEST EXTENT PERMITTED BY LAW.
GENERAL. Acceptance of any prize constitutes permission to CNBC to use any winner's name, city, state,
likeness, voice, biographical information and statements for purposes of advertising, promotion and publicity in any and all media,
now or hereafter known, throughout the world in perpetuity without additional compensation, notification or permission, unless prohibited by law.
By participating, entrant (i) agrees to release and hold CNBC, their respective parents, affiliates, subsidiaries, and advertising and promotion
agencies, any other entity involved in the development or administration of the Contest, and each of their respective directors, officers,
employees and assigns (collectively, the “Released Parties”), harmless against any and all claims and liability of any kind
(including, without limitation, personal injury, death, and/or property damage) arising in whole or in part, directly or indirectly,
out of participation in the Contest or the acceptance, receipt, possession, misuse, nonuse or use of any prize (or portion thereof);
(ii) waives all rights to claim direct, indirect, punitive, incidental and/or consequential damages, attorney's fees or any damages
other than actual out-of-pocket costs incurred to enter; (iii) agrees to be bound by these Official Rules and the decisions of CNBC
and its representatives, which are final and binding on all matters relating to the Contest, and (iv) agrees to waive any right to
claim any ambiguity or error in these Official Rules or the Contest itself.
CNBC has the right to modify these rules in its sole discretion for clarification purposes without materially affecting the terms
and conditions of the Promotion, as determined by CNBC. CNBC may prohibit any entrant or potential entrant from participating in
the Promotion, if at the sole discretion of CNBC, such person shows a disregard for these Official Rules, or acts (1) with an intent to
annoy, abuse, threaten, or harass any other entrant, CNBC, or its agents or representatives or (2) in any other disruptive manner.
Released Parties are not responsible for incomplete, lost, late, stolen, damaged, illegible, misdirected, garbled, inaccurate, delayed or undelivered entries; for any computer,
network, technical, mechanical, printing, typographical, human or other errors or problems of any kind relating to or in connection with the Contest,
including, without limitation, errors or problems of any kind that may occur in connection with the administration of the Contest, the processing of
entries, the announcement, delivery or use of any prize or in any Contest-related materials; or for any liability for damage to any computer system
resulting from participating in, or accessing or downloading information in connection with this Contest
If this Contest is not capable of running as planned due to an infection by a computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of CNBC (including, without limitation, in the event of any unanticipated occurrence that is not fully addressed in these rules), CNBC reserves the right to postpone, cancel, or modify the Contest (or any element thereof, including, without limitation, these rules) in any manner and for any reason without notice, in its sole discretion. CNBC also reserves the right in its sole discretion, to cancel, suspend or modify the Contest, or to disqualify any implicated entrant(s), (and their entries) if any fraud, virus, actions by entrants, technical or other error or problem of any kind, or any other occurrence corrupts or affects the administration, integrity, security, or proper play of the Contest, as determined by CNBC in its sole discretion. In the event of cancellation, CNBC reserves the right, at its sole discretion, to pick winner(s) from among all eligible entries received by CNBC up until the time of such cancellation, termination, modification or suspension, as applicable. Entries will be declared made by the authorized account subscriber of the e-mail address submitted at the time of entry. Authorized account subscriber is the natural person who is assigned the email address by the Internet Service Provider (ISP), on-line service provider, or other organization responsible for assigning e-mail addresses. CNBC reserve the right to terminate this Contest or permanently disqualify from any promotion any person it believes has violated these rules.
The failure of CNBC to comply with any provision of these Official Rules due to an act of God, hurricane, war, fire, riot, earthquake, terrorism, labor dispute, act of public enemies, actions of governmental authorities outside of the control of CNBC (excepting compliance with applicable codes and regulations) or other force majeure event will not be considered a breach of these Official Rules.
All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any participant, CNBC or the Released Parties in connection with the Contest, shall be governed by and construed in accordance with the laws of the State of New York without giving effect to any choice of law or conflict of law rules or provisions which would cause the application of the laws of any jurisdiction other than the State of New York. If any controversy or claim arising out of or relating to the Contest, the Official Rules, or the breach of any term hereof, cannot be otherwise resolved, it shall be resolved by binding arbitration conducted in the County of New York, and administered by Judicial Arbitration and Mediation Services (“JAMS”) in accordance with its Streamlined Arbitration Rules and Procedures or subsequent versions thereof (“the JAMS Rules”). The JAMS Rules for selection of an arbitrator shall be followed, except that the arbitrator shall be an experienced arbitrator licensed to practice law in New York. The decision of the arbitrator shall be binding, final and conclusive and shall not be appealable to any court.
USE OF DATA/ENTRANT’S PERSONAL INFORMATION. CNBC will be collecting personal data about participants when they enter the Contest. CNBC does not guarantee the safety of the transmission of information sent by the entrant’s and all information is sent at the entrant’s own risk. CNBC may disclose the entrant’s personal information only in any manner consistent with the statement on privacy located at http://www.nbcsports.com/privacypolicy.
PLEASE NOTE THAT A HIGH VOLUME OF ENTRIES OR TECHNICAL DIFFICULTIES WITH THE SYSTEM MAY RESULT IN TEMPORARY INABILITY TO ENTER THE PROMOTION OR A DELAY IN THE PROCESSING OF ENTRIES SUCH THAT YOUR ENTRY IS NOT RECEIVED IN TIME TO PARTICIPATE.
